General Terms

Edition of October 2026 · E. Jakobson & Co Ltd, trading as Abroadlly (HE479342) · Limassol, Cyprus

These Terms apply to every person for whom Abroadlly arranges anything, member or not.

1. These Terms

1.1 “Abroadlly” is E. Jakobson & Co Ltd, a company incorporated in the Republic of Cyprus. The “Client” is the person for whom Abroadlly arranges goods, services or access. A “Member” is a Client with a signed Membership Agreement. A “Supplier” is any third party that provides what is arranged.

1.2 These Terms apply to every request and every booking. Where a signed Membership Agreement says something different, the Membership Agreement prevails.

1.3 Abroadlly deals only with adults. A child under eighteen may use a membership only where the Membership Agreement includes them, and the Member is responsible for them.

2. What Abroadlly does

2.1 Abroadlly sources and arranges goods, services and access from Suppliers. It is an intermediary. It is not a carrier, hotelier, charterer, tour operator, venue or event organiser, and what a Supplier provides is provided under the Supplier’s own terms, which bind the Client.

2.2 Abroadlly works with reasonable skill and care. It does not guarantee the availability of any Supplier, venue, seat, table, rate or outcome, and a request for a particular seat, room or table is a request, not a promise, unless the Supplier has confirmed it in writing.

2.3 Abroadlly may decline any request without giving a reason. It does not arrange anything unlawful, unsafe or liable to harm its reputation.

2.4 Abroadlly does not give legal, tax, medical or investment advice.

2.5 Each arrangement is separate. Transport, accommodation and other services are always separate bookings, each with its own Supplier, its own price and its own payment, even when they are for the same trip. Abroadlly does not sell packages, and each Supplier alone is responsible for the service it provides.

3. Requests and approval

3.1 Requests are made through the Abroadlly portal or any other channel Abroadlly makes available to the Client.

3.2 The Client approves a booking by accepting it in the portal, or by any written message. Approval commits the Client to pay the price quoted.

3.3 A portal sign-in is personal to the person it was issued to and is not shared. The Client is responsible for their sign-in and for everything done through it, and tells Abroadlly at once if anyone else has used it. Where the Client authorises another person to act for them, that person’s requests, approvals and payments are the Client’s own.

3.4 The portal and everything in it belong to Abroadlly. The Client uses it only to deal with Abroadlly, and does not copy it or give access to anyone they have not authorised to act for them. It is provided as it is, and Abroadlly does not promise that it will always be available.

4. Prices

4.1 Abroadlly quotes a single, all-inclusive price for each arrangement. The price covers what the Supplier provides together with Abroadlly’s own service, and Abroadlly may also be remunerated by Suppliers.

4.2 A price is quoted for payment by bank transfer. Where the Client pays by card, the card price shown at the time of payment applies.

4.3 A quote is not a hold. Price and availability can change until payment has been received, and Abroadlly tells the Client of any change before taking payment.

4.4 Where a price was quoted in obvious error, Abroadlly may cancel the arrangement and refund what the Client paid for it.

5. Payment

5.1 Every booking is paid for in advance. Abroadlly secures a booking only once it has received cleared funds for it, and then settles with the Supplier.

5.2 Payment must come from a card or account in the Client’s own name, or in the name of the company that holds the membership.

5.3 Before a first booking, the Client provides the identification Abroadlly asks for. Abroadlly carries out the identity and sanctions checks the law requires, and may carry out further background checks itself or through a specialist provider. It makes no booking until they are complete.

5.4 Charges that arise after booking, such as incidentals, damage, no-show and cancellation charges, are payable by the Client. Abroadlly may charge them to the Client’s payment method on file and may set them off against any amount it holds for the Client.

5.5 The Client raises any question about a charge with Abroadlly first, and does not dispute with their card issuer a charge for something that was provided.

6. Changes, cancellations and no-shows

6.1 Once a booking is secured, the Supplier’s conditions govern any change or cancellation. Abroadlly will try to reduce the cost of a change but cannot waive a Supplier’s charges.

6.2 Changes and cancellations are made through Abroadlly, never directly with the Supplier. Abroadlly can often recover costs only when it handles the change itself. Where the Client changes or cancels directly, or does not turn up, every resulting charge and loss is the Client’s, including any amount Abroadlly could otherwise have recovered.

6.3 Abroadlly’s own fees for work already done are not refundable.

6.4 Where a Supplier fails to provide what was booked and Abroadlly pays for a replacement, the Client’s right to a refund from that Supplier passes to Abroadlly, up to the amount Abroadlly paid.

7. Particular services

7.1 Charters. An aircraft or yacht charter is made on the operator’s or broker’s own contract, which the Client signs and which governs the charter.

7.2 Tickets and events. Tickets are not refundable or exchangeable once paid for. They may be sourced on the secondary market at a price above face value.

7.3 Restaurant and venue access. A priority reservation fee is not refundable and is separate from the bill at the venue.

7.4 Travel. The Client is responsible for holding the passports, visas and health documents a journey requires, and for meeting the entry rules of each country. Abroadlly recommends travel insurance that covers cancellation, medical care and belongings.

8. Conduct

8.1 The Client deals respectfully with Abroadlly’s team and with Suppliers, gives accurate information, and does nothing liable to damage Abroadlly’s reputation or its relationships with Suppliers.

8.2 The Client is responsible for their guests and for anyone they authorise to use the service.

9. Suppliers introduced by Abroadlly

9.1 Abroadlly’s Suppliers, and its arrangements with them, are proprietary to Abroadlly. Where Abroadlly has introduced a Supplier or arranged access to one, the Client books with that Supplier only through Abroadlly, for as long as the Client uses Abroadlly and for twelve months afterwards. Ordinary dealings with a Supplier while enjoying what Abroadlly arranged are not restricted.

10. Confidentiality

10.1 Abroadlly keeps the Client’s identity, details and requests confidential. It discloses them only where the law requires, to Suppliers to the minimum extent needed to fulfil a booking, and to its payment processors and professional advisers under duties of confidentiality.

10.2 The Client keeps confidential how Abroadlly secures reservations and access, and the existence and amount of any fee paid to obtain them, and does not discuss them with anyone, including the venue or Supplier concerned.

10.3 This section continues after the relationship ends.

11. Data and communications

11.1 Abroadlly handles personal data as described in its Privacy Notice.

11.2 Messages and calls with Abroadlly may be recorded, stored and processed by automated systems, in order to carry out requests and to improve the service.

12. Liability

12.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.

12.2 Abroadlly is not liable for the acts, omissions or insolvency of a Supplier, or for indirect or consequential loss.

12.3 Subject to 12.1, Abroadlly’s total liability to a Member in any membership year is limited to the membership fee paid for that year. Its total liability to any other Client is limited to the amount that Client paid Abroadlly for the booking concerned.

12.4 The limit in 12.3 does not apply to a breach by Abroadlly of clause 10.1.

12.5 The Client compensates Abroadlly for losses caused by the Client’s breach of a Supplier’s terms, of clause 8 or of the law.

12.6 A complaint about a booking must reach Abroadlly in writing within thirty days after the service was provided. Abroadlly cannot take up with a Supplier a complaint raised later.

13. Ending the relationship

13.1 Abroadlly may stop acting for a Client at once for non-payment, unlawful use, misconduct toward its team or Suppliers, repeated no-shows, or a breach of clause 8, 9 or 10.2. In that case no membership fee is refunded, and Abroadlly may recover the losses the breach caused.

13.2 Bookings already secured are not affected, but Abroadlly has no duty to manage or change them once the relationship has ended, and the Client then deals with the Supplier directly. Clauses 9, 10 and 12 continue.

14. Changes to these Terms

14.1 Abroadlly may change these Terms by giving the Client thirty days’ written notice. A Client who continues to use the service after that has accepted the change. A Member who does not accept may end the membership as set out in the Membership Agreement.

15. General

15.1 Neither party is liable for a failure caused by events beyond its reasonable control.

15.2 The Client may not transfer their rights. Abroadlly may transfer its business to a successor bound by the same obligations.

15.3 If part of these Terms is found invalid, the rest continues.

15.4 Written notice may be given by email, through the portal or by WhatsApp, using the contact details the other party last gave.

15.5 These Terms, any Membership Agreement and any Booking Confirmation are the whole agreement between Abroadlly and the Client. A right that is not enforced on one occasion is not given up.

15.6 These Terms are governed by the law of the Republic of Cyprus, and the courts of Cyprus have exclusive jurisdiction. A Client who is a consumer keeps any rights under the law of their country of residence that cannot be excluded.
